I. NAME

1. This corporation shall be known as the Charleroi Sportsman’s Association, Inc.

II. OBJECTIVES

1. It shall be for the purposes of developing and preserving the game, fish and forests of Pennsylvania. To develop marksmanship, to promote friendly cooperation with farmers and to assist in securing proper legislation for sportsmen. To promote conservation of wildlife and natural resources in general. And finally, the promotion of the highest standards of sportsmanship.

III. OFFICERS

The officers of the organization shall be as follows:

• President
• Vice President
• Recording Secretary
• Financial Secretary
• Treasurer
• 13 (thirteen) Board Members

1.   Members of the Board shall be elected in a six to five (6 - 5) ratio. Six to serve two  (2) years and five (5) to serve one (1) year. Board Members may succeed  themselves. The President can appoint two (2) members each year.

2.   Nominations shall be selected by a nomination committee and nominations off the  floor at the meeting in November only.

3.   Elections shall take place at the regular meeting in December. Candidates receiving  the most votes shall be declared elected. In the case of a tie vote, the President  shall cast the deciding vote.

4.   Newly elected officers shall be installed and assume their elected position at the  regular meeting in January and continue in office until relieved by their successor.

5.   Board Members missing three meetings in a calendar year without just cause will have their office declared vacant. A replacement will be made by vote of the body at the next regular meeting.

6.   All members must be in good standing.

7.   If a member appointed by the President is vacated during the year, the President  shall appoint a new member to fill out the balance of his term.

8.   Any elective office vacated during the year shall be filled by nominations from the  floor and elected at the next regular meeting.

IV. DUTIES OF OFFICERS

1.   The President shall be the executive head of the association. He shall sign agreements made on the behalf of the association. He shall perform such other duties pertinent to the office. The President is subject to the Constitution and By-       Laws of the association, the membership and the board of directors.

1.1 The President can spend up to $1000 (one-thousand) dollars per month for the association without a meeting or vote from the board of directors.

2.   The Vice President shall assist the President in his duties and to preside at the meetings during his absence.

3.   The Recording Secretary shall keep the minutes of all the meetings; shall keep a record of and attend to all correspondence for the association; shall notify all Board Members of meetings of special nature; shall have custody of the club seal, all       papers, documents and statement, contracts and shall perform other duties as the board may direct.

4.   The Financial Secretary shall collect all dues and maintain records of same. Assist when and where he may be of most value to the association. He will also be in charge of membership.

5.   The Treasurer shall disburse funds only on properly countersigned warrants. He shall keep account of receipts and disbursements and submit a report of his activities monthly or when called upon to do so by the proper authority. He shall       countersign all checks and sign all bills and other documents of financial character pertaining to his office when properly directed by the President or Board of Directors. The Treasurer shall be bonded only if he is directed to become so by the       Board of Directors.

6.   The Board of Directors shall be an elected and appointed group of the members, which shall direct the destinies of the association. They may demand an audit at any time or they may call for an investigation of matters of the association when they deem it necessary.

7.   Any monies being spent beyond normal expenses will be approved by the Board of  Directors at a board meeting or regular meeting of the membership. Should a critical situation warrant it, an emergency will be called to resolve the issue.

8.   The five elected officers shall serve on the Board of Directors.

9.   The board of directors shall meet on the third Thursday of each month at 6:30 p.m.  Any changes necessary can be made at a board meeting with majority of officers present.

V. PROCEDURE

1.   Regular monthly meetings shall be held on the third Tuesday of each month at 8:00 p.m. The board of directors shall have the power to change the meeting time when it is deemed necessary.

2.   Meetings will be conducted according to Robert’s Rules of Order.

3.   Special meetings may be called by the President, Board of Directors or by written request of at least 15 (fifteen) members of the association.

4.   Petitions pertaining to club affairs must be discussed and voted on my the membership at a regular meeting before any action is taken.

VI. QUORUM

1.   Fifteen (15) members of the association shall constitute a quorum.

2.   A majority of the Board of Directors shall constitute a quorum.

3.   A majority of any committee shall constitute a quorum.

VII. MANAGEMENT

1.   Any officer or member of the association shall receive compensation or remission of dues for services rendered by approval of the Board of Directors.

VIII. FISCAL YEAR AND DUES

1.   The fiscal year of the association shall be from July 1 to June 30.

2.   There is a grace period thru July 31. Anyone not paying dues by July 31 will be  considered a non-member. Dues will be accepted prior to April at the discretion of the Financial Secretary.

3.   Annual membership dues amount shall be determined by Officers and Board of Directors.

4.   A senior member is one who has been a member in good standing for 15 (fifteen) consecutive years prior to his 65h birthday - the dues being set at 50% (fifty) of annual regular membership dues. A senior member in good standing for 20 (twenty) consecutive years prior to he 70h (seventieth) birthday - the dues being set at 25% (twenty-five) of annual regular membership dues.

5.   A member in good standing who has served or currently serving in the United States Armed Forces with proper identification may receive a 10% (ten) discount of annual regular membership dues.

X. MEMBERSHIP

1.   A member may be any person, being a citizen of the United States and at least 21  years of age and of good character.

1.1 A Junior Member, 16-17 years of age and non-drinking members 18-20 years of age - dues shall be determined but the Board of Directors.

2.   Any prospective person wishing to join the association should visit the club with a member in good standing and fill out a membership application when the charter is  open. Officers and Board of Directors shall determine to open or close the charter as necessary.

3. Applications for new membership will be reviewed by the Board of Directors and submitted to the membership to be voted upon.

XI. SUSPENSION AND EXPULSION

1. Any member of the association may be expelled or suspended from the membership upon conviction by the state, or willfully violates game or dish laws, m or found guilty of any conduct unbecoming of a true sportsman. No member however, can be expelled or suspended without first a fair trial before the Board of Directors, with or without counsel at their own expense.

1.1 Any member of the association may be given an immediate suspension by the on-duty bartender or any Officer or Board member, from club grounds and activities until their trial before the Board of Directors, if their actions are deemed detrimental to the association, property or patrons.

1.2 Any member or person threatening verbally or physically an offer or board of directors or other person shall immediately be asked to leave club and all property until appropriate action can be taken.

2. A member of the association may be warned by a letter, suspended or expelled from the membership when his actions are deemed to be a detrimental to the association by the Board of Directors. The decided period of suspension or permanent expulsion cannot proceed without a fair hearing before the Board. Failure to appear at the hearing shall be deemed an admission of guilt and the Board will enforce the suspension or expulsion.

XII. DONATIONS

Strike #1 from 1988 By-Laws

Any donations requested shall be submitted by the Board to the body at a regular meeting.

XII. AMENDMENTS

1. The Constitution and By-Laws may be amended when an amendment has been presented in writing and subscribed to at least 10 (ten) members in good standing, at any regular meeting.

2. The proposed amendment must be read at 2 (two) regular meetings and voted at the third regular meeting. The majority vote shall be final and binding and added to the existing By-Laws.
